I. Terms of Use

Terms and Conditions of Use

1. Agreement to Arbitrate

Interstellar Marketing Inc. d/b/a "Home Upgrade Solutions" ("HUS," "we," "us," or "our") and you agree to arbitrate all disputes or claims arising out of or relating to:

  • these Terms of Service,
  • our [Privacy Policy], and
  • your access to or use of homeupgradesolutions.com (the "Site") or any related mobile application,

except those disputes or claims that, under applicable law, cannot be subjected to arbitration.

These arbitration terms are intended to be interpreted broadly, making every dispute between us subject to individual arbitration to the fullest extent permitted by law.

Intellectual‑property carve‑out. Any claim involving copyrights, trademarks, patents, trade secrets, or other intellectual‑property rights may be brought in a court of competent jurisdiction and is not governed by this arbitration agreement.

This agreement covers claims sounding in contract, tort, statute, fraud, misrepresentation, warranty, or any other theory; claims arising before these or any prior Terms; claims related to advertising, TCPA, data privacy, or information security; claims currently or subsequently asserted after termination of these Terms; and claims that are or were the subject of putative class actions in which you are not a member of a certified class.

For purposes of this clause, "Interstellar Marketing Inc.," "Home Upgrade Solutions," "you," and "us" include our respective parents, subsidiaries, affiliates, predecessors, successors, assigns, agents, and employees, as well as any beneficiaries or authorized/unauthorized users of services, products, or information provided under these or prior terms.

Small‑claims option. Either party may bring an individual action in small‑claims court.

Class‑action & jury waiver. By agreeing to these Terms, both parties waive the right to a jury trial and to participate in any class or representative action, to the maximum extent allowed by law.

2. Governing Law & Rules

This arbitration provision evidences a transaction in interstate commerce; the Federal Arbitration Act (FAA) governs its interpretation and enforcement and survives termination of your relationship with HUS.

Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules ("AAA Rules") as modified herein. AAA Rules are available at www.adr.org or 1‑800‑778‑7879. The arbitrator decides all issues, including the scope and enforceability of this provision and any other term of these Terms (except that a court decides whether class or representative proceedings are permitted).

Unless we agree otherwise, the substantive law of the state in which you reside applies, and hearings will occur in the county (or parish) of your permanent residence; preliminary or case‑management hearings may be held by telephone.

3. Fees & Costs

Except as provided below, HUS will pay all AAA filing, administration, and arbitrator fees for arbitrations initiated consistent with the notice process. If the arbitrator finds your claim or requested relief frivolous or brought for an improper purpose (per Federal Rule 11(b)), cost‑shifting under the AAA Rules applies, and you must reimburse us for fees we advanced.

4. Discovery

Discovery and exchange of non‑privileged information will be conducted under the AAA Rules.

5. Class‑Action Waiver

YOU AND HUS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN ANY CLASS OR COLLECTIVE ACTION, to the maximum extent permitted by law. If this waiver is found unenforceable in its entirety, the entire arbitration clause is void; if only part is unenforceable, that portion is stricken and the remainder enforced.

Any claim not subject to individual arbitration must be stayed in court pending completion of arbitration.

6. Notice of Dispute & Initiating Arbitration

A party intent on arbitration must first send a written Notice of Dispute by certified mail to:

The Notice must describe the claim and the relief sought ("Demand"). If we cannot resolve the dispute within 30 days of receipt of the Notice, either party may commence arbitration. Upon receiving notice that you initiated arbitration, we will promptly reimburse your AAA filing fee.

7. Changes to this Provision

If HUS changes this arbitration clause (other than the Notice Address) after you first accepted these Terms, you may reject the change by sending Notice to the address above. In that event, the version in effect at the time of your first use of the Site will govern any future dispute.

II. Privacy Policy

This privacy policy explains what information we collect from you, what we do with it, and how we respect your information on our website homeupgradesolutions.com, owned and operated by Interstellar Marketing Inc. d/b/a "Home Upgrade Solutions" (referred to herein as "Provider," the "Site," "we," or "us").

The Provider strives to protect your privacy to the maximum extent possible.

We offer users the option of participating in online marketing campaigns to request quotes on home‑improvement products—including, but not limited to, roofing, siding, windows, bathroom remodels, and solar power products (the "Services").

By using the Site and the Services, you consent to the terms below. Your visitation, use, and/or registration on this Site signifies that you accept the practices set forth in this policy. We reserve the right to change the policy at any time; continued use indicates your agreement with any changes. It is your responsibility to check back regularly for updates.

1. Information We Collect

A. Information Collected at Registration

We collect personal information when you register with us and when you use our Services, and we may combine it with data from business partners or other companies. During registration we typically require basic contact information (e.g., first and last name, e‑mail address, and mobile phone). Additional demographic details may be requested, but only "required" fields are necessary to register.

We do not accept registrations from persons under 18. If you are 16–17, you must have parental approval. If we discover a user under 18 without valid parental consent, we will terminate the account and delete the information.

B. Information Collected Through Use of the Site and Services

We also collect certain information automatically—IP address, browser type, ISP, referring/exit pages, operating system, date/time stamp, and clickstream data—to improve our Services, marketing, and analytics. Technologies such as cookies, beacons, tags, and scripts (used by us and our partners) help us analyze trends, administer the Site, track movements, and gather aggregated demographic info. You may control cookies via your browser; rejecting them may limit some features.

We and certain partners may also use HTML5 local‑storage objects (LSOs). Some browsers provide management tools for removing LSOs.

We partner with third parties to display or manage advertising; those partners may use cookies to gather information about your browsing in order to show relevant ads.

2. How We Use the Information

By submitting personal information on the Site, you acknowledge that such submission constitutes an "inquiry" and/or "application" for purposes of the Telemarketing Sales Rule (16 C.F.R. §310 et seq.) and applicable state do‑not‑call regulations. Accordingly, even if your phone number appears on Federal or state DNC lists, we may contact you via telemarketing, including pre‑recorded messages and automated dialing, unless and until you opt out (Section 5). Uses include:

  • providing and improving the Services;
  • confirming your agreements with us;
  • customizing pages or Services;
  • awarding contest prizes; and
  • sending newsletters, promotions, and updates.

3. With Whom We Share Information

We share personal information only as described here. We do not sell it. We may disclose it:

  • to trusted vendors who assist us in providing Services (subject to confidentiality obligations);
  • to comply with legal requirements, protect rights or safety, investigate fraud, or respond to government requests;
  • in connection with a corporate transaction (merger, sale, reorganization, etc.);

You also consent to receive autodialed and/or pre‑recorded telemarketing calls from or on behalf of Provider and its third‑party marketing partners at any number you provide (mobile, home, or business). Consent is not a condition of purchase.

4. Access to Your Account

If your personal information changes, or if you no longer desire our Services, you may update or delete it via your member page or by contacting Customer Support at info@homeupgradesolutions.com.

5. OPT OUT

To stop receiving marketing communications from Provider:

6. Data Retention

We retain information as long as your account is active or as needed to provide Services and to comply with legal obligations, resolve disputes, and enforce agreements.

7. Other Websites

Our Site may link to third‑party sites. We are not responsible for their content or privacy practices. Review their policies before providing personal information.

8. Security

We use commercially reasonable measures—including SSL encryption for sensitive data—to protect personal information in transit and at rest. No Internet transmission or storage method is 100 % secure; therefore, we cannot guarantee absolute security.

9. Disclaimer Notice

Provider makes no representations or warranties regarding the accuracy, completeness, or adequacy of Site content and expressly disclaims liability for errors or omissions. No warranty of any kind—express, implied, or statutory, including merchantability, fitness for a particular purpose, non‑infringement, or freedom from viruses—is given with respect to the Site, Services, or linked resources.

10. Testimonials

We may display customer testimonials on the Site with your consent. To update or delete a testimonial, e‑mail info@homeupgradesolutions.com.

11. Endorsement Disclaimer

Pop‑up ads that appear while visiting our Site are likely produced by other sites or software on your device; they are not endorsed by Provider. References to specific products, services, or companies are for public convenience and do not constitute an endorsement.

12. Notice of Changes

We may update this policy to reflect changes in our practices. Material changes will be announced via e‑mail or a prominent Site notice before they take effect. Review this page periodically for the latest information.

13. Your California Privacy Rights
